Please read these Terms & Conditions (“Terms”) carefully before using the Megaflow Site or engaging any services from Megaflow. By using the Site or requesting services, you agree to be bound by these Terms.

1. Parties
   These Terms apply between you (the “Client” or “User”) and Megaflow (Pty) Ltd (“Megaflow”, “we”, “us”, “our”).
   
   

2. Use of the Site & Services
   2.1 You may use the Site for lawful purposes only, and in a way that does not infringe rights or restrict use by others.
   2.2 You may not reproduce, republish, distribute, or commercially exploit the content without our express written consent.
   2.3 Use of the Site does not guarantee that Megaflow will render services to you; service provision is subject to agreement and capability.
   
   

3. Service Engagements
   3.1 All services (pumps supply or repair, armature winding, plant operations & maintenance, consulting) will be governed by a separate service agreement or quotation accepted by both parties.
   3.2 Quotations are valid for a set period (to be stipulated). Megaflow may revise pricing due to changes in cost, scope, or site conditions.
   3.3 You must provide accurate and timely information and access to facilities, equipment, and site conditions as needed.
   
   

4. Fees & Payment
   4.1 Payment terms, method, and schedule shall be defined in each service agreement or quotation.
   4.2 Late payment may attract interest or surcharges, as agreed or as permitted under law.
   4.3 You shall bear any bank charges, taxes, or duties associated with payment.
   
   

5. Intellectual Property
   5.1 All intellectual property rights in the Site, content, logos, trademarks, drawings, designs, and documentation remain with Megaflow unless expressly assigned.
   5.2 You may access and use content for permitted purposes, but you may not remove proprietary notices or infringe on copyrights, patents, or trademarks.
   
   

6. Confidentiality
   6.1 Either party may receive or access confidential information of the other. Each party agrees to keep such information confidential and not disclose to third parties, except as required by law or agreed in writing.
   6.2 Confidential information excludes information in the public domain (other than by breach of these Terms) or already lawfully in a party’s possession.
   
   

7. Warranties & Disclaimers
   7.1 Megaflow warrants that services will be performed with reasonable skill and care, in line with industry standards, and in accordance with applicable laws.
   7.2 Except as expressly provided, all warranties (express or implied) are excluded to the fullest extent permitted by law.
   7.3 You acknowledge that site conditions, materials, and equipment may affect outcomes beyond control; claims must be raised in writing within a defined period.
   
   

8. Limitation of Liability
   8.1 Under no circumstances shall Megaflow be liable for indirect, consequential, incidental, punitive, or special damages, loss of profit, or business interruption, whether in contract, delict (tort), or otherwise, even if advised of the possibility of such damages.
   8.2 Megaflow’s total liability for direct damages shall be limited to the fee paid by you for the relevant service giving rise to the claim (or portion thereof).
   8.3 These limitations apply to the maximum extent permitted by applicable law.
   
   

9. Indemnification
   You agree to indemnify and hold harmless Megaflow and its directors, employees, contractors, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your breach of these Terms, negligence, or misuse of the Site or services.
   
   

10. Force Majeure
    Neither party is liable for delays or failures due to circumstances beyond its reasonable control (e.g., natural disasters, strikes, acts of God, war, regulatory changes). The affected party shall notify the other and use reasonable efforts to mitigate.
    
    

11. Termination
    11.1 Either party may terminate a service agreement in the event of material breach by the other (if the breach is not cured within a reasonable period after notice).
    11.2 Termination does not relieve either party of accrued obligations (e.g. payment, confidentiality).
    11.3 On termination, you shall return or destroy any confidential information or materials belonging to Megaflow.
    
    

12. Variation
    Megaflow may update or change these Terms at any time. Changes will be effective when posted on the Site. Continued use after changes constitutes acceptance.
    
    

13. Governing Law & Dispute Resolution
    These Terms are governed by the laws of the Republic of South Africa. Disputes will be subject to the exclusive jurisdiction of the courts of South Africa.
    
    

14. Severability
    If any provision is held to be invalid or unenforceable, the remainder of the Terms shall continue in full force and effect.
